Securities Litigation

Since the enactment of the Private Securities Litigation Reform Act (PSLRA) in 1995, our partners have defended hundreds of directors, officers and public companies in securities class actions. We have also represented individual investors, funds and executives in securities arbitrations and litigation throughout the United States. Many of these representations have involved technology and financial services firms and companies.

Derivative Litigation

We routinely represent individual directors and officers in derivative litigation and also have represented nominal defendant corporations in derivative litigation. In addition, we also represent minority shareholders – often company founders or early investors – with derivative claims and inspections of corporate records to vindicate their shareholder rights.

Business Litigation

Our business litigation practice consists of enforcing our clients’ rights under contracts and licenses in court and arbitration and handling claims for unfair business practices and similar statutory actions. Most recently, we have assisted a number of clients with privacy compliance issues and litigation.


We represent clients in government investigations by the Department of Justice (DOJ), Federal Trade Commission (FTC), Financial Industry Regulatory Authority (FINRA), and Securities and Exchange Commission (SEC) as well as in internal corporate investigations. Most all of these investigations require consideration of potential civil, criminal and regulatory issues, and we pride ourselves on providing thoughtful and accurate guidance for our clients.
